Agreement to terms

Our services
Chanmax provides digital product development services, including but not limited to:
- Website and web application development
- MVP (Minimum Viable Product) development
- Automation and AI systems implementation
- Growth strategy and performance optimization
- Digital consulting and strategy services
Client responsibilities
When engaging our services, you agree to:
- Provide accurate and complete information about your project requirements
- Respond to communications and requests for feedback in a timely manner
- Provide necessary access, credentials, and materials required for project completion
- Make payments according to the agreed-upon schedule
- Review and approve deliverables within the specified timeframes
Project terms and deliverables
Specific project terms, including scope, timeline, deliverables, and pricing, will be outlined in a separate project proposal or statement of work. These project-specific documents, when signed or accepted, become part of these Terms. Any changes to project scope must be agreed upon in writing and may result in adjustments to timeline and pricing.
Payment terms
Payment terms will be specified in your project proposal. Generally:
- A deposit may be required before project commencement
- Milestone payments may be structured throughout the project
- Final payment is due upon project completion and delivery
- Late payments may result in project delays or suspension
- All fees are non-refundable unless otherwise specified
Intellectual property
Upon full payment, you will own the intellectual property rights to the custom work created specifically for your project. However:
- We retain ownership of pre-existing tools, frameworks, and methodologies
- Third-party components remain subject to their respective licenses
- We reserve the right to showcase the work in our portfolio unless otherwise agreed
- General knowledge and skills gained during the project remain with us
Confidentiality
We treat all client information as confidential and will not disclose your proprietary information to third parties without your consent, except as required by law. This obligation survives the termination of our business relationship. If you require a formal Non-Disclosure Agreement (NDA), please let us know before sharing sensitive information.
Limitation of liability
To the maximum extent permitted by law, Chanmax shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability for any claim arising from our services shall not exceed the total fees paid by you for the specific project giving rise to the claim.
Warranties and disclaimers
We warrant that our services will be performed in a professional and workmanlike manner. However, we do not guarantee specific business outcomes, such as increased revenue or user engagement. Our website and services are provided "as is" without warranties of any kind, either express or implied, except as expressly stated in a project agreement.
Termination
Either party may terminate a project agreement with written notice. Upon termination, you will be responsible for payment of all work completed up to the termination date. We will provide all completed work and project materials upon receipt of final payment. Termination terms specific to your project will be outlined in the project agreement.
Governing law
These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or our services shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration or resolved in the courts of competent jurisdiction.
Changes to these terms
We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after such changes constitutes acceptance of the new Terms.
